On using UBLKIT*

1. Introduction

Welcome to UBLKIT, an online platform and downloadable tool designed to simplify the conversion and management of electronic invoices. Our services include:

  • Free online tools for converting and extracting invoice data;
  • UBLKIT Pro, a paid subscription service for advanced invoice management;
  • A downloadable executable for local invoice processing.

By using UBLKIT, you agree to these General Terms and Conditions ("GTC"). If you do not agree, do not use our services.

2. Definitions

User
Any person or entity using UBLKIT services.
UBLKIT
Refers to the platform and all related services.
Content
All files, data, and information uploaded or generated by the User.
Personal Data
Any information relating to an identified or identifiable natural person (e.g., names, emails, invoice data about individuals).
UBLKIT Pro
Refers to the paid subscription service.
Executable
Refers to the downloadable program for local use.
Controller / Processor
For Pro accounts, UBLKIT is typically a processor acting on your instructions for uploaded content; UBLKIT is a controller for account data (e.g., billing, authentication). Clarify in your own policies if you act as controller for invoice data.

3. User Accounts and Access

3.1 Free Tools

  • No registration is required.
  • Folders and files are stored for a period between 2 weeks and 3 months, depending on usage. Users can delete their data at any time.

3.2 UBLKIT Pro

  • Registration is required.
  • Users must provide a valid email address and create a password.
  • Users can cancel their account at any time, effective at the end of the current billing period.

3.3 Minors

  • Minors may use the free tools.
  • For UBLKIT Pro, minors must be capable of executing payments and, where local law requires (e.g., under 16 in many EU countries), parental/guardian consent is needed.

4. Data Handling and Privacy

4.1 Roles and lawful basis

  • Account/billing data (e.g., name, email, billing details): UBLKIT acts as controller. Legal bases: contract (providing the service) and legitimate interest (service security, fraud prevention); consent where required (e.g., marketing, non-essential cookies).
  • Uploaded Content (invoices, PDFs, UBL/XML): For Pro/paid use, UBLKIT acts as processor on your instructions; you remain controller for such data. For free tools, UBLKIT provides an automated processing service only for the purpose of conversion/viewing.

4.2 Data categories and purposes

  • Account data: identification, authentication, billing, support.
  • Content: conversion between UBL/XML and PDF, viewing; originals are not altered.
  • Technical logs: security, performance, abuse mitigation.

4.3 Retention

  • Free tools: stored for conversion only, auto-deleted after a short period (max 90 days) or sooner based on storage limits; users may delete earlier.
  • UBLKIT Pro/Desktop: retained for the duration of the contract and deleted on cancellation/termination, unless longer retention is required by law (e.g., invoicing records).

4.4 Security

  • HTTPS in transit; passwords hashed; storage under non-guessable identifiers; access restricted to authorized personnel only.

4.5 International transfers

Data is primarily stored in the EU/EEA. If transferred outside the EU/EEA, appropriate safeguards such as Standard Contractual Clauses will be applied.

4.6 Data subject rights

Users (data subjects) can exercise access, rectification, erasure, restriction, portability, and objection rights, and withdraw consent where applicable, by contacting us (see Contact). We will respond in line with GDPR timelines.

4.7 Subprocessors and third parties

We may use vetted subprocessors (e.g., hosting, email delivery) under data protection agreements ensuring confidentiality, security, and compliance.

4.8 Cookies and tracking

Non-essential cookies (analytics/marketing) are only used with consent. Users can withdraw consent via the cookie banner or browser settings. Essential cookies are required for the service. See the Cookie Notice/Privacy Notice for details.

4.9 Data breach

In case of a personal data breach, UBLKIT will assess, mitigate, and where required notify supervisory authorities and affected users in accordance with GDPR Articles 33/34.

5. Payment and Subscriptions

5.1 UBLKIT Pro

  • Subscription is monthly, non-refundable, and auto-renews until cancellation.
  • VAT is handled by the payment processor.

5.2 Portable Solution

  • A one-year usage license is granted upon download.

6. Intellectual Property and Content

6.1 Ownership

Users retain all rights to their uploaded and generated Content.

6.2 License

UBLKIT grants a non-exclusive, revocable license to use the Executable for one year.

7. Liability and Warranties

7.1 Disclaimer

  • UBLKIT does not guarantee the accuracy of the data extracted or generated from your files.
  • The original file is considered the source of truth.

7.2 Liability

  • UBLKIT is not liable for any errors, data loss, or misuse of the tools, except as required by mandatory law (including GDPR obligations).
  • Users indemnify UBLKIT for illegal or unauthorized use of the services, without limiting UBLKIT’s own data protection responsibilities.

8. Acceptable Use and Prohibited Activities

8.1 Content Restrictions

  • Only electronic invoices may be processed.
  • Illegal, offensive, or malicious content is prohibited.

8.2 Fair Use

  • Free tools are subject to fair use limits. Any abuse may lead to exclusion.

9. Technical and Operational Details

9.1 Third-Party Services

UBLKIT uses open-source software and certain third-party providers (hosting, email, analytics with consent) under agreements that protect confidentiality and security.

9.2 Downtime

Downtime is limited to necessary updates and maintenance.

10. Termination and Suspension

10.1 User Rights

Users can delete their data and accounts at any time.

10.2 UBLKIT Rights

UBLKIT may terminate or suspend access for violations of these GTC.

11. Jurisdiction and Dispute Resolution

These GTC are governed by Belgian law. Disputes will be resolved in the courts of Brussels, without prejudice to mandatory consumer/data protection rights of EU/EEA users to bring claims in their country of residence.

12. Miscellaneous

12.1 Language

These GTC are available in English, French, and Dutch.

12.2 Amendments

UBLKIT may update these GTC. Users will be notified of material changes (especially those affecting data protection). Continued use after notification constitutes acceptance; if you do not agree, cease use.
