UBLKIT — End User Licence Agreement (EULA)
Version 1.3 — November 2026 — applies to UBLKIT 2.4.0 and later
This agreement is between Ulixes Consulting (the "Licensor"), a Belgian enterprise registered with the Crossroads Bank for Enterprises (KBO/BCE) under number BE 0795.420.685, with its registered office at Elegemstraat 186, 1700 Dilbeek, Belgium, e-mail tanguy@ulixes-consulting.be, and you (the "User"), whether you are an individual or a legal entity. By installing or using UBLKIT you accept this agreement. If you do not accept it, do not install or use UBLKIT.
The English version is binding. Translations are provided for convenience.
1. The software
"UBLKIT" means the UBLKIT desktop application for Windows, macOS and Linux, including its command-line interface, documentation and updates. UBLKIT displays electronic invoices and credit notes in UBL format (Peppol BIS, EN 16931) and converts them to PDF.
UBLKIT has two functions:
- Viewer: opening, displaying, printing and saving one document at a time.
- Batch conversion: converting several documents in one operation, through the batch screen or the command line (
ublkit convert).
2. Evaluation
2.1 You may use UBLKIT — the Viewer and batch conversion — free of charge for an evaluation period of 30 days from its first launch, to test whether it meets your needs.
2.2 The evaluation period is granted once. Reinstalling UBLKIT, using another device or resetting its settings does not start a new evaluation period for the same user.
3. Paid licence
3.1 Obligation. After the evaluation period, any use of UBLKIT — the Viewer as well as batch conversion — requires a valid licence. If you do not want to buy a licence, you must stop using UBLKIT and uninstall it.
3.2 Licence types.
| Licence | Who | Scope |
|---|---|---|
| Company | One user (legal entity, self-employed person or individual), identified by the VAT number(s) stated in the licence key | Documents issued to or by that entity. Unlimited users and devices within that entity. |
| Professional | Accountants, bookkeepers, fiduciaries, service providers, groups of companies | Also documents of third parties (clients, other group entities). Unlimited users and devices within the licensee. |
A Company licence does not cover processing documents for clients or for other legal entities, including other entities of the same group whose VAT numbers are not in the key. That use requires a Professional licence.
3.3 Term. A licence is a one-time purchase, valid for 99 years from its issue date as stated in the licence key. It does not renew automatically and no recurring fee is charged. After expiry, a grace period of 14 days applies. After that, UBLKIT returns to evaluation mode and article 3.1 applies again.
3.4 Licence key. The licence key is personal to the licensee named in it and bound to its VAT number(s). You must not share, publish, sell or transfer it, except to a successor of the licensee's business with the Licensor's prior written consent. UBLKIT displays the licensee's name ("Licensed to …").
3.5 Prices and invoicing. Prices are those published on https://ublkit.be at the time of purchase, excluding VAT. Payment is made through the Licensor's payment provider. The Licensor sends an invoice, through the Peppol network where possible.
4. Honour system and reminders
4.1 UBLKIT contains no lock-out and no time bomb. Its functions do not stop or degrade when the evaluation period ends or a licence expires. Compliance relies on the User's good faith.
4.2 To inform the User, UBLKIT shows reminders:
- a dialog at every start-up once the evaluation period has ended or the licence has expired, and before each batch conversion;
- the mention "evaluation copy" in the window title;
- the licence status in Help › About and Licence › Show licence;
- a notice on the command line.
These reminders are not a measure of enforcement. Dismissing them does not grant any right of use beyond this agreement.
4.3 Licence-type check. To suggest the right licence type, UBLKIT keeps local statistics on how often VAT numbers appear on the documents it batch-converts. Only irreversible, salted hashes of these VAT numbers are stored, on the User's own device. They are never transmitted. The result is only a suggestion and does not by itself establish a breach.
5. Your data
5.1 UBLKIT processes all documents locally, on the User's device. It does not upload documents, invoice data, VAT numbers or usage statistics to the Licensor or to third parties. It contains no telemetry or advertising.
5.2 UBLKIT only contacts the internet when the User clicks a link (website, purchase page, e-mail) or, in a future version, for an optional check for updates or an updated licence key. Such a check only transmits the licence identifier and the version number.
5.3 The User remains responsible for the documents they process and for their own compliance with data-protection law.
6. Generated PDF documents and converted copies
When a UBL document does not contain a PDF, UBLKIT generates a visual representation of the main data. This representation is not the legal original. The UBL/XML file is the legal original, and it may contain data that the representation does not show. The User must check important data, such as amounts, VAT, bank details and payment references, against the UBL file or its issuer before acting on it. UBLKIT's consistency checks are an aid, not a guarantee.
When UBLKIT converts an invoice from one syntax to another (for example a Factur-X, ZUGFeRD or CII invoice into UBL), the result is a copy for import into the User's software. It is not the legal original and it is not an invoice issued by the supplier: the invoice as received (the PDF and the XML it contains) remains the legal original and must be kept as such. The conversion copies the data as stated in the original and may leave out information that the target syntax cannot hold. The User must not send the copy to third parties as if it were the original invoice.
7. Restrictions
You may not:
a) remove or alter copyright notices, the licence display or the reminders, or circumvent the licence-key verification;
b) modify, decompile or reverse-engineer UBLKIT, except to the extent that mandatory law permits it (in particular for interoperability, articles XI.298 and XI.299 of the Belgian Code of Economic Law);
c) rent, lease or sell UBLKIT, or offer it as a hosted service to third parties;
d) generate, distribute or use licence keys that were not issued by the Licensor.
You may distribute the unmodified, official UBLKIT installer free of charge, provided that this agreement is included and that you do not charge for UBLKIT itself.
8. Intellectual property and third-party components
UBLKIT is protected by copyright and remains the property of the Licensor. You receive a non-exclusive licence to use it as described here; no ownership is transferred.
UBLKIT includes open-source components (among others PDFium, egui, krilla, and the Inter, Carlito, Liberation and DejaVu fonts). These are used under their own licences, listed in THIRD-PARTY-NOTICES.md. Nothing in this agreement restricts your rights under those licences.
9. Warranty
UBLKIT is provided "as is". The Licensor makes reasonable efforts to keep it working correctly and to support current UBL and Peppol specifications. However, it does not warrant that UBLKIT is free of errors, that it will read every document correctly, or that it suits a particular purpose.
During a paid licence, the Licensor will make reasonable efforts to correct reported errors. If a material error cannot be corrected within a reasonable time, the User may terminate the licence and receive a refund of the price for the remaining period.
10. Liability
10.1 To the extent permitted by law, the Licensor is not liable for indirect damage, including:
- loss of profit, data or customers;
- late-payment interest or penalties;
- tax or accounting consequences;
- damage resulting from relying on a generated representation without checking it against the UBL file (article 6).
10.2 During the evaluation period, UBLKIT is provided free of charge and the Licensor accepts no liability whatsoever, subject only to article 10.3. For a paid licence, the Licensor's total liability is limited to the price the User paid for that licence.
10.3 These limitations do not apply to:
- fraud, intentional misconduct or gross negligence;
- death or personal injury;
- any liability that cannot be limited under mandatory law, including consumer law.
11. Consumers
If you buy a licence as a consumer, your statutory rights remain unaffected. For digital content supplied immediately, your right of withdrawal ends once you have expressly agreed to immediate supply and acknowledged the loss of that right at purchase.
12. Termination
This agreement applies for as long as you use UBLKIT. If you seriously breach it, in particular articles 3.4 or 7, the Licensor may terminate your licence by e-mail without refund, without prejudice to other remedies. On termination you must stop using UBLKIT.
13. Changes
The Licensor may amend this agreement for future versions of UBLKIT. A change that is unfavourable to the User does not apply to versions of UBLKIT released before the change. The version accompanying each release applies to that release.
14. Governing law and disputes
This agreement is governed by Belgian law. The courts of the judicial district of the Licensor's registered office have jurisdiction, without prejudice to the mandatory rules of jurisdiction protecting consumers. Before going to court, the parties will try to settle any dispute amicably.
